This website is operated by PANELS LLC, doing business as PANELS. Throughout the site, the terms "we," "us," and "our" refer to PANELS LLC.

PANELS operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the "Services"). PANELS is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein ("Terms"), describe your rights and responsibilities when you access or use the Services.

Many PANELS products are physical paper, art, creative, educational, storage, or creator products. Minor variations that naturally occur in printing, cutting, binding, paper, packaging, or manufacturing may occur and do not necessarily constitute a product defect.

Product specifications and descriptions may be updated from time to time as we improve products, packaging, materials, or manufacturing methods.

We reserve the right to modify or discontinue products at any time without notice and to limit quantities available to any person, geographic region, or jurisdiction.

Unless otherwise expressly stated, products sold through our consumer store are currently offered for shipment within the United States.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase products from PANELS. We reserve the right to accept, decline, limit, or cancel an order when reasonably necessary, including because of product availability, suspected fraud, pricing or listing errors, payment issues, or other circumstances affecting our ability to fulfill the order.

Your order is not considered accepted until your payment has been successfully processed and your order has been accepted by PANELS.

Please review your order carefully before submitting it. If you need to cancel or modify an order, contact us as soon as possible at admin@panelsprint.com. Once an order has entered fulfillment or has shipped, we may be unable to cancel or modify it.

If we cancel or materially change an order, we will attempt to notify you using the contact information provided with your order.

Returns and refunds are governed by our Return & Refund Policy.

Products purchased through our consumer storefront may not be purchased for unauthorized commercial resale, redistribution, or export. Approved retailers, organizations, and other commercial customers may purchase PANELS products for resale under separate wholesale, retail, licensing, custom-product, or other applicable commercial terms.

SECTION 4 - PRICES, PAYMENT AND BILLING

Prices, discounts, product availability, and promotions may change without notice.

The price charged for a product will generally be the price displayed when your order is placed and will be reflected in your order confirmation.

Unless otherwise stated, displayed prices do not include applicable sales taxes or shipping and handling charges. These charges, when applicable, will be calculated or displayed during checkout.

PANELS currently operates its consumer ecommerce store for customers in the United States.

Promotional offers may be subject to additional terms. If specific promotional terms conflict with these Terms, the promotional terms will govern that promotion.

You agree to provide current, complete, and accurate purchase, payment, billing, and account information.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment-processing providers to charge the amounts associated with your purchase, including applicable taxes and shipping charges.

SECTION 5 - SHIPPING AND DELIVERY

Orders are shipped in accordance with our Shipping Policy.

Processing and delivery dates provided by PANELS or displayed during checkout are estimates unless expressly stated otherwise.

Carrier delays, severe weather, service interruptions, incorrect delivery information, and other circumstances outside PANELS' reasonable control may affect delivery times.

Please ensure that your shipping address is complete and accurate before placing your order.

If your order arrives damaged, defective, or incorrect, please contact admin@panelsprint.com as soon as possible so we can evaluate the issue and work to make it right in accordance with our Return & Refund Policy.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and their contents, including PANELS trademarks, logos, product names, product designs, packaging, illustrations, characters, graphics, photographs, text, videos, audio, downloadable materials, website design, and other original content, are owned by or licensed to PANELS LLC and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use.

Unless expressly authorized by PANELS, you may not reproduce, distribute, modify, create derivative works from, publicly display, republish, sell, license, download, store, or transmit PANELS content or intellectual property for commercial purposes.

Purchase of a physical PANELS product does not transfer ownership of PANELS intellectual property associated with that product.

Nothing in these Terms grants you a license or other right to PANELS intellectual property except as expressly provided.

PANELS names, logos, product names, designs, characters, graphics, and slogans may constitute trademarks, copyrights, or other intellectual property of PANELS LLC or its licensors and may not be used without authorization.

Shopify's names, logos, product names, designs, and slogans are trademarks of Shopify. Other names, logos, and trademarks appearing through the Services belong to their respective owners.

We may provide access to tools, applications, integrations, or services offered by third parties that we do not control.

Such tools may be provided "as is" and "as available," subject to the terms and policies of the applicable third-party provider.

PANELS is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with PANELS.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and PANELS, including any injury, damage, or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with PANELS.

We reserve the right to correct errors, update information, and, when reasonably necessary, cancel or modify orders affected by materially incorrect information.

If we cancel an order after payment has been processed, we will issue an appropriate refund.

Termination does not eliminate payment obligations or other responsibilities incurred before termination.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

SOME STATES OR JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANELS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES.

THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, TO THE EXTENT SUCH LIMITATIONS ARE PERMITTED BY LAW.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

PANELS may transfer or assign its rights and obligations under these Terms as permitted by applicable law.

These Terms and any separate agreements through which PANELS provides Services will be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from these Terms or the Services will be subject to the jurisdiction of the appropriate state or federal courts located in Michigan.
